NOTICE OF PUBLIC HEARING April 26, 2022, 6:00 p.m. City Council Chambers, 387 NE Third Street Prineville, Oregon 97754 NOTICE IS HEREBY GIVEN that a Public Hearing will be held by the City Council of the City of Prineville, Oregon (the City Council) on Tuesday, April 26, 2022, at 6:00 p.m. at Prineville City Hall, City Council Chambers, 387 NE Third Street, Prineville, Oregon 97754. The purpose of the meeting is to conduct a public hearing for the purpose of hearing public comment on a request by St. Charles Health System, an Oregon nonprofit corporation (the Borrower), to The Hospital Facility Authority of Deschutes County, Oregon (the Issuer) to issue its revenue refunding bonds, in one or more series pursuant to a plan of finance, in a maximum aggregate principal amount of $80,000,000 (the Bonds). Proceeds of the Bonds are expected to be used for the purpose of refunding the Issuer’s Revenue Bonds, Series 2014 (the 2014 Bonds), the proceeds of which were used, in part, to finance costs of capital construction, acquisition, development, improvements, renovations and equipping of the Borrower’s healthcare facilities located within the boundaries of the City at 384 SE Combs Flat Road, Prineville, Oregon 97754 (the Prineville Project). The remaining proceeds of the 2014 Bonds were used to finance assets located elsewhere in the State of Oregon. The Borrower is the owner of the Prineville Project. The principal of and interest on the Bonds will not constitute a debt of the Issuer or the City of Prineville, Oregon (the City), nor shall the Bonds be payable from a tax of any nature levied upon any property within the City, nor within any other political subdivision of the State of Oregon. The Issuer has no taxing power. The Bonds will be payable only from revenues and resources provided or arranged by the Borrower pledged to the payment of the Bonds and any credit enhancement arranged for the Borrower. Section 147(f) of the Internal Revenue Code of 1986 (the Code) requires that qualified 501(c)(3) bonds, such as the Bonds, must be approved by the applicable elected representatives of the governmental unit issuing such bonds. In addition, if any proceeds of 501(c)(3) bonds are used to finance assets, such as the Prineville Project, not located within the jurisdiction of the Issuer, the Code requires that the bonds must be approved by applicable elected representatives of a governmental unit having jurisdiction over the area in which the assets are located, in this case, the City Council of the City. The City Council as the applicable elected representatives of the City will consider a Resolution approving of the issuance of the Bonds by the Issuer to refinance the Prineville Project. The purpose of the public hearing will be to provide a reasonable opportunity for members of the public to express their views, orally or in writing, regarding the issuance of the Bonds and the uses and purposes of the proceeds of the Bonds. The hearing will be conducted in a manner that provides a reasonable opportunity for persons with differing views to be heard on the question of the issuance of the Bonds.
