IN THE CIRCUIT COURT OF THE STATE OF OREGON FOR THE COUNTY OF WASHINGTON CASE NO. 22CV24132 PUBLISHED SUMMONS SEGAJAKE WEST CORP, an Oregon Domestic Business Corporation, Plaintiff v. COASTAL HAWAIIAN FARMS, LLC, an Oregon limited liability company; JARRETT ROSE, an individual; CARSON ROSE, an individual; QUANG NICK CAO, an individual; and NANCY JO CLARK (fka BENSON), an individual, Defendants TO: JARRETT ROSE and CARSON ROSE, of the above-named Defendants. You are hereby required to appear and defend the complaint filed against you in the above-entitled action, within thirty (30) days from the date of the first publication of this summons, and in case of your failure to appear and answer, plaintiff for want thereof will apply to the above-entitled court for the relief prayed for in its complaint. SUMMARY STATEMENT: This action relates to Defendants entering into an Asset Purchase Agreement (PSA) with Plaintiff, on or about February 15, 2020, for the assets and operations of Coastal Hawaiian Farms, LLC, located at 15755S Beef Bend Road, in the City of Tigard, County of Washington, State of Oregon. In addition, parties executed a Facility Management Agreement, calling for Plaintiff to receive compensation for managing the Farm operations. Plaintiff made substantial payments to Defendant Jarrett Rose, and Rose’s attorney, per the PSA. Defendants failed to honor various terms of the PSA,and misrepresented the Farm’s licensing status with the Oregon Liquor & Cannabis Commission. Date of first publication: October 20, 2022. WHEREFORE, Plaintiff prays for the following relief: A. For their First Claim for Relief, Plaintiff prays for a judgment and monetary award against Coastal Hawaiian Farms LLC in the amount of $268,000, and for an award of reasonable costs and attorneys’ fees in an amount to be determined; B. In the alternative to the First Claim for Relief, for their Second Claim for Relief, Plaintiff prays for a judgment and monetary award against Coastal Hawaiian Farms LLC in the amount of $510,000, and for an award of reasonable costs and attorneys’ fees in an amount to be determined; C. For their Third Claim for Relief, Plaintiff prays for a judgment and monetary award against Coastal Hawaiian Farms LLC in the amount of $510,000, and for an award of reasonable costs and attorneys’ fees in an amount to be determined; D. For their Fourth Claim for Relief, Plaintiff prays for judgment that Jarrett Rose be equally, jointly and severally liable with Hawaiian Coastal Farms LLC for all awards and judgments made against Hawaiian Coastal Farms LLC related to claims one through three; E. For their Fifth Claim for Relief, Plaintiff prays for a judgment and money award against Jarrett Rose in the amount of $108,000, and for an award of reasonable costs and attorneys’ fees in an amount to be determined; F. For their Sixth Claim for Relief, Plaintiff prays a judgment and money award against Nancy Jo Clark in the amount of $268,000; G. For their Seventh Claim for Relief, Plaintiff prays for a judgment and money award against Nancy Jo Clark for an award of reasonable costs and attorneys’ fees in an amount to be determined; H. For their Eighth Claim for Relief, Plaintiff prays for a judgment and money award against Quang Nick Cao in the amount of $268,000, and for an award of reasonable costs and attorneys’ fees in an amount to be determined; I. For an award of pre-judgment interest from February 15, 2020 to date of order of judgment at the statutory rate of nine percent (9%) per annum; J. For an award of post-judgment interest at the statutory rate of nine percent (9%) per annum from the date judgment is entered until the date the judgment is fully satisfied; and K.
